About the Role As an Executive Compensation Associate, you will serve as a strategic advisor on the most complex "people" aspects of large-scale corporate transactions. Key Responsibilities Transactional Advisory: Lead the employee benefits and executive compensation workstreams for high-value M&A, private equity, and restructuring transactions. Incentive Design: Design, draft, and implement complex equity compensation plans, nonqualified deferred compensation arrangements, and executive employment agreements. Compliance & Governance: Advise public and private clients on the operation of benefit plans, ensuring compliance with ERISA, the Internal Revenue Code (including Section 409A), and relevant securities laws. Strategic Drafting: Prepare sophisticated transaction documents, including retention agreements, change-in-control protections, and restrictive covenant agreements. Cross-Functional Collaboration: Partner with M&A, Tax, and Securities teams to deliver holistic solutions for global corporate clients. Requirements Experience: 3-5 years of dedicated employee benefits and executive compensation experience within a reputable law firm. Technical Skills: Strong proficiency in advising on the benefits/comp aspects of M&A and drafting sophisticated executive agreements. Academic Credentials: Outstanding academic record from a top-tier law school. Communication: Exceptional analytical skills and the ability to communicate complex technical concepts clearly to C-suite clients.
