The Senior Legal Operations Specialist will play a central role in supporting the corporate legal function with a primary focus on legal entity management. This position is responsible for maintaining and administering the company's global portfolio of subsidiaries and legal entities, coordinating compliance filings and corporate governance documentation, and serving as a key operational resource for entity lifecycle activities including formations, qualifications, conversions, and dissolutions. The Senior Legal Operations Specialist will also support broader legal operations initiatives, including document management, process improvement, and cross"‘functional coordination. This role will be an important part of the corporate legal team within Honeywell Aerospace when it becomes a new, independent public company following its spin out of Honeywell, expected in Q3 2026. You will report directly to our Vice President and General Counsel, M&A and Licensing. This position is based in Phoenix, AZ on a hybrid work schedule. You will work closely with the Senior Paralegal and other responsible personnel within Honeywell Corporate Legal, as well as with cross"‘functional counterparts in finance, tax, treasury, controllership, and other departments. You will also coordinate with outside counsel and external service providers across domestic and international jurisdictions to ensure timely and accurate completion of entity governance requirements and compliance filings. Legal Entity Management (Primary Focus) Administer and maintain the company's entity management system, ensuring real"‘time accuracy of corporate records for all domestic and international subsidiaries and affiliates, including ownership structures, officer and director information, registered agent details, and jurisdictional data. Support the full lifecycle of legal entities, including formation, qualification, conversion, merger, name change, dissolution, and restructuring activities, in coordination with the Senior Paralegal and outside counsel. Coordinate the preparation and filing of annual reports, franchise taxes, certificates of good standing, foreign qualifications, and jurisdictional withdrawals across multiple domestic and international jurisdictions. Maintain statutory registers, minute books, and related corporate governance records for all entities in the company's portfolio. Prepare and manage corporate governance documents, including board and shareholder resolutions, written consents, meeting minutes, officer certificates, incumbency certificates, and secretary's certificates. Create and maintain current organizational charts reflecting the company's corporate structure, ownership hierarchy, and officer and director information. Track and monitor entity compliance deadlines across all jurisdictions, ensuring timely completion of all required filings and governance actions. Coordinate document legalizations, apostilles, and cross-border corporate formalities as needed. Support know-your-customer (KYC) requests and other due diligence inquiries by providing entity-level documentation, organizational charts, and corporate records. Cross-Functional Coordination and Liaison Serve as a primary point of contact for entity-level data requests from cross-functional counterparts in finance, tax, treasury, controllership, and audit. Coordinate with outside counsel and external registered agent and corporate service providers on entity governance, filings, and compliance matters across jurisdictions. Support the onboarding of new entities arising from corporate transactions, including coordinating formation documents, governance records, and initial compliance filings. Legal Operations Support Maintain the corporate legal department's document repositories and filing systems, ensuring legal records are organized, accessible, and current. Identify and implement process improvements related to entity management workflows, compliance tracking, and governance documentation. Assist with preparation and organization of materials for board of directors and committee meetings, including coordination of meeting logistics and distribution of materials. Demonstrated experience maintaining corporate records, minute books, and statutory registers for a portfolio of domestic and international legal entities. Strong understanding of entity lifecycle activities, including formation, qualification, dissolution, and ongoing compliance filings across multiple jurisdictions. High attention to detail with the ability to manage compliance deadlines and large volumes of corporate records accurately and efficiently. Proficiency with Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
